Terms of Service

These terms govern the use of Prosync Asia's software and services. By using our software, you agree to them.

1. The service

Prosync Asia provides manufacturing software (including production tracking and factory-digitalisation tools) and related consulting services, including as the authorized ARDIS partner for South East Asia. Specific scope, subscription and pricing are set out in your order or agreement with us.

2. Accounts

• Accounts are provided to named users of our customers. You are responsible for keeping your login credentials secure.
• You are responsible for activity that happens under your account. Tell us promptly if you suspect any unauthorised access.

3. Acceptable use

You agree to use the software only for lawful business purposes and not to disrupt, reverse-engineer, or attempt to gain unauthorised access to the service or other customers' data.

4. Your data

You retain ownership of the production data you put into the software. You grant us the right to process it solely to provide and support the service. We handle personal data as described in our Privacy Policy.

5. Intellectual property

The Prosync Asia software and its content remain the property of Prosync Asia and its licensors. ARDIS products remain the property of ARDIS. Nothing in these terms transfers ownership of that software to you; you receive a right to use it for the term of your subscription.

6. Fees

Fees, billing period and any implementation charges are stated upfront in your order or agreement. There are no hidden charges.

7. Availability & warranties

We work to keep the service reliable and available, but it is provided "as is" without warranties of uninterrupted or error-free operation. We will use reasonable efforts to resolve issues promptly.

8. Limitation of liability

To the extent permitted by law, Prosync Asia is not liable for indirect or consequential losses. Our total liability relating to the service is limited to the fees paid for it in the preceding 12 months.

9. Termination

Either party may end the agreement in line with the notice terms in your order. On termination we will, on request, return or delete your data, subject to any legal retention requirements.

10. Governing law

These terms are governed by the laws of Singapore, and disputes are subject to the Singapore courts, unless your written agreement with us states otherwise.

11. Changes

We may update these terms from time to time. The "last updated" date above shows when they last changed.
